Kentucky Basic Trauma Life Support

BYLAWS

ARTICLE I: OFFICES

Section 1: Offices

Kentucky Basic Trauma Life Support may have offices within or without the Commonwealth of
Kentucky as the members of the Steering Committee of Kentucky Basic Trauma Life Support may
from time to time determine for the activities of Kentucky Basic Trauma Life Support requires.

ARTICLE II: STEERING COMMITTEE OF KENTUCKY BASIC TRAUMA LIFE
SUPPORT

Section 1: Authority to Appoint

The Kentucky Chapter of the American College of Emergency Physicians shall appoint a Kentucky
Basic Trauma Life Support Medical Director. The Kentucky Basic Trauma Life Support Medical
Director will then have the authority to appoint the members of the Steering Committee of Kentucky
Basic Trauma Life Support.

Section 2: Steering Committee of Kentucky Basic Trauma Life Support
Members

The Steering Committee of Kentucky Basic Trauma Life Support shall consist of members
appointed by the Kentucky Basic Trauma Life Support Medical Director. The members shall be, but
are not limited to one (1) Kentucky Basic Trauma Life Support Program Coordinator, one (1)
Kentucky Basic Trauma Life Support Executive Secretary, one (1) Kentucky Basic Trauma Life
Support Affiliate Faculty, and one (1) Kentucky Basic Trauma Life Support Instructor. The terms of
the appointees of the Steering Committee of Kentucky Basic Trauma Life Support shall be 2 years
from date of appointment.

Section 3: Steering Committee of Kentucky Basic Trauma Life Support
Members Roles and Responsibilities

The roles and Responsibilities of the Steering Committee of Kentucky Basic Trauma Life Support
shall be determined by the Steering Committee of Kentucky Basic Trauma Life Support and be set
forth in the Kentucky Basic Trauma Life Support Policy Manual.

Section 4: KY Steering Committee Roles and Responsibilities

Duties are to determine KY policy manual standards. Attend 6 out of 8 meetings during the two-year
committee appointment. Actively participate in BTLS in their region.

ARTICLE III: STEERING COMMITTEE OF KENTUCKY BASIC TRAUMA LIFE
SUPPORT MEETINGS

Section 1: Regular and Special Meetings

The Steering Committee of Kentucky Basic Trauma Life Support shall meet on a regular basis at
the time and place, as determined by the Kentucky Basic Trauma Life Support Medical Director as
stated in the Notice of Meeting. Special meetings of the Steering Committee of Kentucky Basic
Trauma Life Support for any purpose may be called by the Kentucky Basic Trauma Life Support
Medical Director or the Kentucky Basic Trauma Life Support Program Coordinator upon request in
writing of the majority of the Steering Committee of Kentucky Basic Trauma Life Support.

Section 2: Steering Committee of Kentucky Basic Trauma Life Support Notice
of Meeting

Notice of a meeting shall be made public in writing or electronically not less than ten (10) nor more
than fifty (50) days in advance of the meeting setting forth the time and place of the meeting.  

Section 3: Steering Committee of Kentucky Basic Trauma Life Support
Meeting Quorum

The presence of the Kentucky Basic Trauma Life Support Medical Director and the Kentucky Basic
Trauma Life Support Program Coordinator along with at least 1/3 of the remaining members of the
Steering Committee of Kentucky Basic Trauma Life Support.  

Section 4: Order of Business

ARTICLE IV: PROHIBITION OF DIVIDENDS

Section 1: Prohibition of Dividends

No part of any net earnings of Kentucky Basic Trauma Life Support shall be distributable as
dividends or benefit in any other manner, to persons affiliated with Kentucky Basic Trauma Life
Support or other private persons. The Steering Committee of Kentucky Basic Trauma Life Support
shall be authorized an empowered to pay reasonable compensation for services rendered and to
make payment and distribution in furtherance of the purposes of Kentucky Basic Trauma Life
Support as set forth by the Steering Committee of Kentucky Basic Trauma Life Support.

ARTICLE V: FINANCES

Section 1: Fiscal Year

The fiscal year of Kentucky Basic Trauma Life Support shall be July 1 through June 30 each year.

Section 2: Instruments

All checks, drafts, or other orders for payment of money, notes or other evidences of indebtedness
issued in the name of Kentucky Basic Trauma Life Support shall be signed by the Steering
Committee Member of Kentucky Basic Trauma Life Support as determined by the Kentucky Basic
Trauma Life Support Medical Director, and in such manner as shall be determined from time to
time by resolution of the members of the Steering Committee of Kentucky Basic Trauma Life
Support.  

Section 3: Budget

The Steering Committee of Kentucky Basic Trauma Life Support shall establish a budget for each
fiscal year and shall operate under generally accepted accounting practices.

ARTICLE VI: PARLIAMENTARY AUTHORITY

Section 1: Parliamentary Authority

The rules contained in the Modern Edition of Robert's Rules of Order shall govern Kentucky Basic
Trauma Life Support in all cases where they are not inconsistent with these bylaws and any special
rules of order Kentucky Basic Trauma Life Support may adopt.

ARTICLE VII: AMENDMENTS TO BYLAWS

Section 1: Amendments to Bylaws

Recommendations for amendments to these bylaws may be made to the Steering Committee.
Notification of proposed changes to the bylaws will be mailed to all members of the Steering
Committee of Kentucky Basic Trauma Life Support a minimum of twenty-one (21) days prior to a
meeting at which a vote on such proposals will be taken. A vote of 2/3 of the Kentucky Basic Trauma
Life Support Steering Committee shall be required for passage of a bylaws change.
